Terms of Service

Last updated September 18, 2026

Primordiant builds robotic experimentalists for research labs. The Service is in beta, and these terms are written to be read: they say what you can expect from us, what we ask of you, and where the limits are. If anything is unclear, ask us before you rely on it.

1. The agreement

These terms are a contract between you and Primordiant, Inc. (“Primordiant”, “we”, “us”). They cover the Primordiant website, the account console, the desktop app and command-line tools, the API, and any robots, skills, or services we provide through them (together, the “Service”).

By creating an account or using the Service you agree to these terms and to our Privacy Statement. If you use the Service on behalf of a company, university, or other organization, you confirm that you have authority to bind it, and “you” means that organization as well.

Enterprise customers with a signed agreement are governed by that agreement wherever it differs from these terms.

2. Beta service

The Service is in beta. It is offered so that early users can put it to the test, and it is not a finished product. Features may change, be limited, or be withdrawn without notice, and data formats, skills, and APIs may change in ways that are not backwards compatible.

During the beta the Service may be unavailable, may contain errors, and may produce results that are wrong or incomplete. It is provided “as is” and you should not rely on it for anything where an error would cause harm, loss, or an irrecoverable result. Keep your own copies of protocols and data you care about.

We may end the beta, convert it into a paid or general-availability service, or discontinue it at any time. We will give reasonable notice by email where we can.

3. Accounts

You need an account to use the console, the desktop app, and the API. You can sign in with an email link or through Google or Microsoft. One person may hold one account, and an account may not be shared.

You are responsible for what happens under your account, including anything done with API keys you create. Keep keys secret, do not commit them to source control, and revoke a key from the console as soon as you suspect it has leaked. Tell us at info@primordiant.com if you believe your account has been compromised.

You must be at least 18 years old, or the age of majority where you live, to hold an account.

4. Acceptable use

You agree to use the Service lawfully and in the spirit of careful experimental work. You will not:

  • use the Service to design, produce, or test weapons, or agents intended to cause harm to people, animals, or the environment;
  • run experiments that violate laws or regulations that apply to you, including export controls, biosafety rules, controlled-substance rules, and institutional review or ethics requirements;
  • operate a robot in a way that endangers anyone, bypasses safety interlocks, or ignores the instrument manufacturer's instructions;
  • probe, scan, or overload the Service, attempt to gain access to other users' data, or reverse engineer the software except where the law allows it;
  • resell the Service, or use it to build a competing product, without our written agreement;
  • upload content that infringes someone else's rights or that you are not allowed to share.

You remain the responsible party for every experiment run through the Service, including its safety, its compliance, and its results. We may suspend or close an account that breaks these rules.

5. Your content and data

Your protocols, observations, results, prompts, and anything else you provide to or generate with the Service are yours. We do not claim ownership of them.

You give us the permission we need to operate the Service: to store your content, to run it on robots and instruments you connect, to show it back to you and to members of your team, and to keep backups. We do not use your content to train models unless you turn on the “Share data” setting in your account or we have a written agreement with you. Our Privacy Statement explains what we collect and how we use it.

You promise that you have the rights needed to provide your content to us and that doing so does not break a law or a contract, including agreements with your employer or institution.

6. Our property

The Service, including the software, the robot skills we publish, the models, the documentation, and the Primordiant name and crystal mark, belongs to us or to our licensors and is protected by copyright, trademark, and other laws. Subject to these terms we give you a limited, non-exclusive, non-transferable licence to use it for your own research and work.

If you send us feedback or suggestions we may use them freely without any obligation to you. Skills you publish yourself, once that is possible, will be covered by terms shown at the time of publishing.

7. Plans and payment

Plans and prices are described on the pricing page. During the beta, choosing a paid plan records your choice but billing is not switched on. We will email you before the first charge, and nothing is owed until then.

Once billing starts, paid plans renew automatically at the end of each monthly or yearly period until you cancel from the console. Prices are shown before tax; sales tax or VAT is added where it applies. Fees already paid are not refunded except where the law requires it. We may change prices with at least 30 days' notice, and a change takes effect at your next renewal.

Paid plans include a monthly allowance of model usage. On-demand usage is off unless you switch it on in the console. While it is on, model calls past the allowance continue and are charged to your payment method at each model's list price plus 20%, up to the monthly limit you set: after the month ends, and during the month when the unbilled amount reaches the threshold shown in the console. Switching it off stops further on-demand usage; usage already incurred is still billed.

8. Hardware and safety

The Service controls physical equipment. You are responsible for the safe installation and operation of every robot and instrument you connect, for the space they operate in, and for supervising them in line with your institution's rules. Robotic systems can move without warning; keep people clear of the working envelope and use the emergency stop whenever in doubt.

Where we supply hardware, its warranty and return terms are set out in the order or agreement for that hardware, not in these terms.

9. Disclaimers

To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted or error-free, that results will be accurate or reproducible, or that any experiment will succeed. Scientific and safety judgement stays with you.

10. Limitation of liability

To the fullest extent the law allows, Primordiant and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, lost samples or reagents, or damage to instruments, arising out of or connected to the Service, however caused and under any theory of liability.

Our total liability for all claims relating to the Service is limited to the greater of USD 100 and the amount you paid us in the twelve months before the claim arose. Some jurisdictions do not allow these limits, in which case they apply to the extent permitted.

11. Indemnity

You will defend and indemnify Primordiant against claims, losses, and costs (including reasonable legal fees) arising from your content, your experiments, your use of connected hardware, or your breach of these terms.

12. Termination

You can close your account at any time from the console or by emailing us. We can suspend or close an account that breaks these terms, that creates a safety or legal risk, or when we discontinue the Service. We will try to give notice first unless the situation makes that unreasonable.

After closure we delete or anonymize your content within a reasonable period, except where we must keep it by law or where it exists in routine backups that expire on their own schedule. Sections that by their nature should survive, including your content rights, disclaimers, liability limits, and indemnity, continue to apply.

13. Changes to these terms

We may update these terms as the Service develops. When we make a material change we will post the new version here with a new date and, for changes that affect your rights, email account holders at least 14 days before they take effect. Continuing to use the Service after that date means you accept the updated terms.

14. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. Any dispute that cannot be settled between us will be brought in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.

Before going to court, please write to us. Most disagreements can be resolved with an email and a conversation.

15. Contact

Questions about these terms go to info@primordiant.com or through the contact page. A person on the team replies within two business days.
